WCRS as a Physician-Led Initiative
The WCRS is designed to be a physician-led initiative. The central Board of Directors was selected from the international pool of investor physician Trustees and Founders and a few select independent physician or non-physician representatives from the Industry of Refractive Surgery.
Central Policy and Procedures will be carried out through Committee Chairs and refined regionally through 6 decentralized Regional Advisory Councils for global initiatives to be sensitive to cross-border regional needs and cultural fluency.
Board of Directors
The Board of Directors was selected from an international pool of investor physician Trustees and Founders and a few select independent physician or non-physician representatives from the Industry of Refractive Surgery. The Board consists of up to 15 members and sets Policy and Procedures, provides oversight of the World College of Refractive Surgery & Visual Sciences, monitors financial reports, ensures the Public Benefit Corporation reports are submitted in a complete and timely manner in compliance with applicable regulations and statutes. The Board will work with the Board of the affiliated World College Of Refractive Surgery & Visual Sciences (WCRS) on collaborative initiatives with preventable blindness.
Trustees
The primary role of the Trustees is to ensure that the World College of Refractive Surgery & Visual Sciences stays true to its stated missions and to nominate members to the Board of Directors.
Trustees will be limited in number and will draw from diverse representation, primarily physicians but also including philanthropists and other stakeholders, as selected by the Visionary Committee. Trustees may also use the designation of “Founder” for recognition of their role in establishing the World College of Refractive Surgery & Visual Sciences. The Trustees may decide to limit or expand the number of Trustees at their sole discretion in the future.
Investors participating in the Trustee offering will have de facto supermajority voting rights in the Company due to the number of shares they control.

FOUNDERS
The primary role of a Founder is to support and participate in furthering the mission of the World College of Refractive Surgery & Visual Sciences. Trustees are also listed in the Founders; however, Founders may or may not be a Trustee.
Investors who participate in the Founder offering may also use the designation of “Founder” for recognition of their role in establishing the World College of Refractive Surgery & Visual Sciences. Founders have voting rights in the election of the Board of Directors on a pro-rata basis according to stock holdings and are eligible to serve in leadership roles in the various activities of the World College of Refractive Surgery & Visual Sciences.
Associate Members
Surgeons, optometrists, scientists, and aligned individuals will be invited to become Associate Members of the World College of Refractive Surgery & Visual Sciences. As well, Associate Membership will be open to individuals who are already Associate Members of an affiliated society.
